[Nh-secretariat] Secretariat Meeting on 3/4 for 501c3 Document Review

Thank you for responding to the survey for when to have this meeting.   Unfortunately, 3/4 is not the first choice for everyone, but a majority of folks seemed to pick this as #1 or #2.   I will record the session for any who can’t make it.

I am sending links to the documents for your review prior to the meeting.   The Bylaws are the “heaviest” of the documents because there is some boilerplate lawyer language in it.  In essence, it sets up the corporate, establishes the board of directors (secretariat), lays out that we will follow state law regarding conflicts, whistleblowers, addresses liability for Secretariat members, etc., and addresses what will happen if a future Secretariat decides to disband the NH Cursillo “corporation”.   The other documents should be easier to read/digest.

- Assuming that we agree on the Bylaws, Conflict of Interest Policy, and Whistleblower policy, authorize Rob to contract with a lawyer for review.
- Determine next steps


In order to incorporate, we need to have the first 4 documents agreed to and I hope to get through them on Wednesday.   At least 5 Secretariat members will need to sign the By-laws and application documents (can wait until the closing if we get through all of these).  Every Secretariat member will need to sign a conflict of interest policy and Whistleblower policy doc.

I have taken the details for the Organization and Roles document from the old Constitution and Bylaws that we agreed on earlier in the year and extracted out the items that belong in our new Bylaws as well as items that talk about our organization and policies.   I think that this is a solid draft, but needs more discussion before finalizing.  However, we don’t need this to incorporate per se.
